Terms of Service.

1. Who we are

Sungensis Software Solutions Private Limited (“Sungensis”, “we”, “us”) is a company incorporated in India (CIN U72900PN2019PTC185244), with its registered office at Flat No. 303, SN-120 A+B, Ajinkyatara Apartment, PL-545/14B, Sinhagad Road, Parvati, Pune, Maharashtra 411030, India. “You” means the person or organisation using this website or our services. If you accept these terms on behalf of an organisation, you confirm that you are authorised to bind it.

2. Using this website

• Lawful use — use the site only for lawful purposes. Do not attempt to disrupt it, gain unauthorised access to it, or probe it beyond what an ordinary visitor would do.
• The AI security checker — the checker reads publicly available information about a website address you submit. Submit only addresses you are entitled to assess, do not use it to target or harass third parties, and do not try to circumvent its rate limits. Its output is an automated, informational summary — not a security assessment, a certification, or professional advice.
• Site content — the text, design, code and graphics on this site belong to Sungensis or its licensors. You may view and share pages, but may not reproduce them for commercial purposes without our written permission.

3. Security testing and audit services

• Written authorisation — we test only systems covered by written authorisation from someone empowered to give it. You warrant that you own, or have the right to authorise testing of, every system you place in scope.
• Scope and methods — engagements follow the agreed scope, rules of engagement and testing windows. We do not test outside them.
• Inherent risk — despite reasonable care, security testing can affect system availability or data. You are responsible for maintaining backups and for telling us about fragile or production-critical systems before testing begins.
• No guarantee of absence — an assessment reports what was found within its scope and timeframe. It cannot prove that no other vulnerabilities exist.

4. WhatsApp Business Platform services

Sungensis is a verified Meta Tech Provider and builds and operates solutions on Meta's WhatsApp Business Platform (Cloud API) for client businesses. If you use these services:

• Meta's rules apply to you — you must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, and any other Meta terms that apply to your account. Where these terms and Meta's differ, the stricter requirement applies.
• Opt-in is your responsibility — before messaging anyone, you must obtain their opt-in to receive messages from your business on WhatsApp, in a manner that meets Meta's policies and applicable law, and you must honour opt-out and block requests promptly.
• Your content — you are responsible for the content of your messages, templates, chatbot flows and attachments, and for ensuring they are accurate, lawful and not misleading. You must not send spam, offer prohibited goods or services, or send unlawful content.
• Onboarding requirements — you must provide accurate business verification documents (such as a certificate of incorporation or GST registration), a phone number not in active use on the WhatsApp or WhatsApp Business app, and a Meta business portfolio. Meta decides whether to approve business verification, display names and message templates.
• Roles under data protection law — for personal data of your customers processed through the platform, you are the Data Fiduciary and Sungensis acts as your Data Processor, processing that data only on your documented instructions, as described in our Privacy Policy.
• Meta controls the platform — the availability, pricing, message delivery, quality ratings, messaging limits and account restrictions of the WhatsApp Business Platform are determined by Meta. Sungensis is not responsible for Meta's decisions, outages or policy changes, although we will help you respond to them.
• Data deletion — how to request deletion of data processed through our WhatsApp services is explained at wa.sungensis.com/sungensis/data-deletion.

5. Fees and payment

• Quoted fees — our fees are set out in the quotation or engagement contract for each service. We do not accept payment through this website; services are billed by invoice.
• Meta's charges — for WhatsApp Business Platform services, Meta's per-message charges are separate from our platform fee and are passed through to you as described in your quotation, including any changes Meta makes to its rates.
• Taxes and timing — fees are exclusive of GST and other applicable taxes, which are added to invoices. Invoices are payable within the period stated on them.

6. Suspension and termination

We may suspend or restrict a service, with notice where practicable, if fees remain unpaid after their due date; if your use breaches these terms, Meta's terms or applicable law; if Meta requires it; or if continuing would create a security, legal or reputational risk to us, to Meta, or to message recipients. Either party may end an engagement as provided in its contract. Provisions that by their nature should survive termination — including fees owed, confidentiality, liability and governing law — continue to apply.

7. Confidentiality and intellectual property

• Confidentiality — each party will keep the other's confidential information confidential and use it only for the engagement, as detailed in the engagement contract.
• Your data stays yours — you retain ownership of your data, content and systems. We use them only to deliver the service.
• Our materials — our tools, methods, platform software and pre-existing know-how remain ours. Rights in deliverables are as set out in the engagement contract.

8. Warranties and liability

• How we work — we will perform services with reasonable skill and care, in line with recognised professional practice.
• The website — this website and the AI security checker are provided “as is”, without warranties of any kind, to the extent permitted by law.
• Limit on liability — to the extent permitted by law, Sungensis is not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability arising from a service is limited to the fees you paid for that service in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
• Your indemnity — you will indemnify Sungensis against claims arising from your breach of these terms or of Meta's terms, from messages sent without valid opt-in, or from testing of systems you were not entitled to authorise.

9. Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction over any dispute arising from these terms or from your use of this website or our services.

10. Changes to these terms

We may update these terms from time to time. The current version is always published on this page with its effective date. Updates do not alter the terms of an engagement contract already signed.
